D. Directors and Officers Directors or Officers need not be Panamanian. There must be a minimum of three individual or juridical persons; their domicile must be set forth in the Articles of Incorporation in a simple form (i.e. city and Country only). There is no need to appoint Officers upon incorporation, but usually the same persons acting as Directors will be appointed as such. One person can have two positions, henceforth, a minimum of one or two natural persons can act as Officers. The meetings of the Board of Directors can be held in Panama or in any part of the world. Quorum should be confirmed in the Minutes, and may be established by any means of communication, such as telephone, video, fax or e-mail. |
